Terms of Service (TOS)

These Terms outline how we work, what you can expect from our services, and the responsibilities we both agree to when working together. They’re designed to keep everything transparent, simple, and fair for everyone involved.


Services

We provide AI automation consulting, implementation, and management services that help businesses streamline sales, outreach, support, and operational workflows. Each solution is customized based on the client’s specific needs and may include strategy, integrations, AI agents, and ongoing optimization. While we aim to deliver reliable and efficient systems, results may vary depending on your business model, data, and execution. By working with us, you agree that our role is to design and support systems, not guarantee specific revenue or outcomes.

Client Responsibilities

You agree to provide accurate information, timely feedback, and access to the tools or accounts required for implementation. Delays in communication, approvals, or access may affect project timelines and results. You are responsible for how you use the systems we build, including compliance with email, marketing, and data regulations. We are not liable for misuse of the automation or outreach tools.

Payments & Fees

All services are billed according to the agreed proposal, package, or hourly rate. Payments must be made on time to avoid delays or suspension of services. Fees for completed work are non-refundable unless otherwise stated in writing. Ongoing or subscription-based services may be paused or canceled with prior notice as defined in your agreement.

Intellectual Property & Confidentiality

Any proprietary systems, workflows, or frameworks we develop for you become available for your internal business use after payment is completed. We may retain ownership of our underlying methods, templates, and processes. Both parties agree to keep sensitive information, business data, and trade secrets confidential. We will never share your private data without permission.

Limitation of Liability

We strive to build secure and dependable automation systems, but we cannot guarantee uninterrupted or error-free performance. We are not responsible for losses resulting from third-party platforms, software changes, outages, or external services. Our liability is limited to the fees paid for the specific service provided. By using our services, you agree that automation decisions remain your business responsibility.

Third-Party Tools / Dependencies

Webnexio may integrate or recommend third-party platforms, automation tools, AI services, or APIs.


Webnexio is not responsible for changes, downtime, data loss, pricing updates, policy changes, or performance issues caused by third-party providers.


AI-based components may produce variable outputs and are not guaranteed to be accurate, complete, or error-free.

Miscellaneous

Third-party services: We may use third-party platforms (CMS, analytics, payment gateways) — their terms and privacy policies apply.


Privacy: Our handling of personal data is governed by our Privacy Policy.


Severability: If any provision is held invalid, the remainder stays in force.


Entire Agreement: These Terms plus the SOW/proposal form the entire agreement.

Indemnification

You agree to indemnify and hold us harmless from third-party claims arising from your content, misuse of deliverables, or breach of these Terms.

Termination

Either party may terminate per the Statement of work (SOW). On termination you pay for work performed up to termination date and any non-cancelable commitments.


On termination we will deliver any completed deliverables upon full payment.

Force Majeure

We are not liable for delays caused by events beyond reasonable control (acts of God, strikes, power outages, or internet outages). Timelines will be extended accordingly.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the state/country specified in your SOW (or if none, the state of our principal place of business). Parties will first attempt to resolve disputes in good faith. If unresolved, disputes will be resolved by arbitration or the courts specified in the SOW.


If no governing law is specified in the SOW, the laws of our principal place of business shall apply.

Changes to Terms

We may modify these Terms occasionally. Material changes will be communicated 30 days before taking effect for active clients; continued use after the effective date means you accept the updated Terms.
